5.4 Refunds and Cancellations

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE;
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH OUR SITE;
• ERRORS OR OMISSIONS IN ANY CONTENT;
• ANY LOSSES OR DAMAGES INCURRED AS A RESULT OF YOUR USE OF CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Wing Snob's liability shall be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or our services ("Dispute"), you agree to first contact Wing Snob at [email protected] and attempt to resolve the Dispute informally. Wing Snob will use reasonable efforts to resolve any Dispute through informal negotiation within thirty (30) days of receipt of your written notice of the Dispute. During this period, both parties agree to act in good faith to reach a mutually acceptable resolution.

14.2 Binding Arbitration

If the Dispute cannot be resolved through informal negotiation within thirty (30) days, either party may elect to have the Dispute resolved by binding arbitration. Any arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

The arbitration shall be conducted on an individual basis. YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this section shall be construed to prevent either party from seeking emergency or interim relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

14.4 Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WING SNOB HEREBY WAIVE YOUR RESPECTIVE RIGHTS TO A JURY TRIAL FOR ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

15. Term and Termination

These Terms are effective upon your first access or use of the Site and shall remain in full force and effect unless and until terminated in accordance with this section.

Wing Snob reserves the right, in its sole discretion, to terminate your access to all or part of the Site and services, with or without notice, for any reason, including but not limited to your breach of these Terms, conduct that Wing Snob believes is harmful to other users or the Company, or requests by law enforcement or government authorities.

You may terminate your use of the Site at any time by discontinuing access to the Site and, if applicable, by closing your account. Termination of your account does not relieve you of any obligations that arose prior to the date of termination, including but not limited to outstanding payment obligations.

• All licenses and rights granted to you under these Terms shall immediately terminate;

In the event of a force majeure occurrence, Wing Snob will make reasonable efforts to notify affected customers and resume normal operations as quickly as practicable.

20. No Agency or Partnership

Nothing in these Terms shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between you and Wing Snob. You do not have authority to bind Wing Snob in any way, and Wing Snob does not have authority to bind you, except as expressly provided in these Terms.

21. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Wing Snob. Wing Snob may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law. Any purported assignment in violation of this section shall be null and void.
